2. Applicability

These general terms and conditions apply to all offers, agreements, and services provided by Limebyte. By using our services, you agree to these terms. Deviations are only valid if agreed upon in writing.

3. The Offer and the Agreement

Limebyte provides services as a digital venture partner, including co-investment, software development, and strategic advice. An agreement is formed upon written acceptance of a quote or by the actual commencement of service execution.

4. Price and Payment

All prices are exclusive of VAT unless stated otherwise. Invoices are payable immediately upon the invoice date unless explicitly stated otherwise on the invoice.

5. Execution Timelines

Timelines provided by Limebyte are indicative and do not constitute a performance obligation, but an obligation of means, unless explicitly agreed otherwise. Exceeding a deadline does not entitle the client to compensation or termination of the agreement.

6. Right of Withdrawal

For services customized to the client's specifications or for professional purposes (B2B), the right of withdrawal does not apply.

7. Intellectual Property Rights

Unless otherwise agreed, all intellectual property rights to the software, designs, and concepts developed by Limebyte remain the property of Limebyte or are licensed to the client upon full payment.

8. Liability

Limebyte is only liable for direct damage resulting from gross negligence or intent. Liability is in any case limited to the invoice amount of the relevant assignment. Limebyte is not liable for indirect damage such as loss of profit or data loss.

9. Force Majeure

In case of force majeure (e.g., technical failures beyond our control, illness), Limebyte's obligations shall be suspended.

10. Governing Law and Disputes

Belgian law applies. All disputes shall fall under the exclusive jurisdiction of the courts of the judicial district of Limburg, Hasselt division.
